This article considers the role of the Regulator and assesses where potential disputes might arise.&nbsp;<\/p>\n\n\n\n<div class=\"wp-block-group animated fadeInUp has-border-color has-accent-3-border-color has-base-2-color has-text-color has-link-color wp-elements-f9a1f8b7133cb71e8085aa1bd14e3d6a has-global-padding is-layout-constrained wp-container-core-group-is-layout-df965ba0 wp-block-group-is-layout-constrained\" style=\"border-width:2px;padding-top:var(--wp--preset--spacing--10);padding-right:var(--wp--preset--spacing--10);padding-bottom:var(--wp--preset--spacing--10);padding-left:var(--wp--preset--spacing--10)\">\n<h3 class=\"wp-block-heading has-accent-3-color has-text-color has-link-color wp-elements-7847509681187b09a083c2ddd9a10632\">Background: The Independent Football Regulator<\/h3>\n\n\n\n<p>The Football Governance Bill passed its final stage in the House of Lords on 26 March 2025 and, at the time of writing, awaits its second reading in the House of Commons.<\/p>\n\n\n\n<p>The Bill aims to establish an Independent Football Regulator (&#8220;<strong>IFR<\/strong>&#8220;) to oversee elite men&#8217;s football in England. The IFR&#8217;s primary objectives are to ensure the: (i) financial sustainability of regulated clubs; (ii) financial resilience of English football; and (iii) heritage of English football.<\/p>\n\n\n\n<h4 class=\"wp-block-heading\">Key provisions in the Bill include:<\/h4>\n\n\n\n<div class=\"flourish-embed\" data-src=\"https:\/\/disputeresolutionyearbook.traverssmith.com\/yearbook-2025\/infographics\/key-provisions\/index.html\"><script src=\"https:\/\/disputeresolutionyearbook.traverssmith.com\/yearbook-2025\/infographics\/key-provisions\/flourish.embed.js\"><\/script><\/div>\n<\/div>\n\n\n\n<div class=\"wp-block-group has-global-padding is-layout-constrained wp-block-group-is-layout-constrained\">\n<div class=\"wp-block-columns is-layout-flex wp-container-core-columns-is-layout-28f84493 wp-block-columns-is-layout-flex\">\n<div class=\"wp-block-column has-accent-3-background-color has-background is-layout-flow wp-container-core-column-is-layout-2703eb16 wp-block-column-is-layout-flow\" style=\"padding-top:var(--wp--preset--spacing--20);padding-right:var(--wp--preset--spacing--20);padding-bottom:var(--wp--preset--spacing--20);padding-left:var(--wp--preset--spacing--20)\">\n<h3 class=\"wp-block-heading has-base-color has-text-color has-link-color wp-elements-17c80c2e60d565856f468b7e08b027b3\">Disputes likely to arise as a result of the introduction of the IFR<\/h3>\n\n\n\n<p class=\"has-base-color has-text-color has-link-color wp-elements-68cf35ae742d47e9fe317ce38ce997ab\">The introduction of the IFR marks a significant change in the regulation of the English game, bringing new obligations and strategic considerations.&nbsp;<\/p>\n<\/div>\n<\/div>\n\n\n\n<div class=\"wp-block-columns is-layout-flex wp-container-core-columns-is-layout-28f84493 wp-block-columns-is-layout-flex\">\n<div class=\"wp-block-column has-base-color has-accent-4-background-color has-text-color has-background has-link-color wp-elements-4910daf3e0baed94caa4f7a4b7194ccd is-layout-flow wp-container-core-column-is-layout-2703eb16 wp-block-column-is-layout-flow\" style=\"padding-top:var(--wp--preset--spacing--20);padding-right:var(--wp--preset--spacing--20);padding-bottom:var(--wp--preset--spacing--20);padding-left:var(--wp--preset--spacing--20);flex-basis:70%\">\n<h4 class=\"wp-block-heading has-base-color has-text-color has-link-color wp-elements-d782587c8a43c7bf3e8702a82da4f399\">Who is in charge?<\/h4>\n\n\n\n<p>There remains considerable uncertainty as to how the IFR will work alongside the existing legal and regulatory framework.&nbsp;<\/p>\n\n\n\n<p>Last year, UEFA was reported to have warned the UK Government that the English men&#8217;s team could be banned from Euro 2028 if the UK proceeded with its IFR plans. Whilst there is precedent for regulation in football (for example the French <em>&#8220;Direction Nationale du Contr\u00f4le de Gestion&#8221; <\/em>which has operated successfully in tandem with the F\u00e9d\u00e9ration Fran\u00e7aise de Football for many years), the existing governing bodies have form when it comes to stopping what they deem inappropriate political interference &#8211; for example, in 2006 Greece was briefly suspended from international football after its government passed legislation interfering with the autonomy of the Greek Football Federation (violating UEFA and FIFA regulations).&nbsp;<\/p>\n\n\n\n<p>A key area of focus will be how the IFR&#8217;s financial regulations interact with the governing bodies&#8217; existing rules (e.g. UEFA financial sustainability rules (FFP) and Premier League profit and sustainability rules (PSR)) given recent legal challenges in this space, as Premier League clubs (e.g. Nottingham Forest) have looked to appeal decisions given the costly consequences (points deductions and\/or fines).&nbsp;The outcome of the Premier League&#8217;s case against Manchester City is hotly anticipated, and could have huge ramifications (in particular, the potential for a wave of &#8220;follow on&#8221; claims, as clubs argue they were adversely affected by the alleged conduct). Most notably, on 21 December 2023, the Court of Justice of the European Union (&#8220;<strong>CJEU<\/strong>&#8220;) delivered three landmark judgments: <em>European Super League<\/em>, <em>International Skating Union<\/em>, and <em>Royal Antwerp<\/em>.<a id=\"_ftnref1\" href=\"#_ftn1\">[1]<\/a><\/p>\n<\/div>\n<\/div>\n\n\n\n<div class=\"wp-block-columns is-layout-flex wp-container-core-columns-is-layout-28f84493 wp-block-columns-is-layout-flex\">\n<div class=\"wp-block-column has-border-color has-accent-3-border-color is-layout-flow wp-container-core-column-is-layout-2703eb16 wp-block-column-is-layout-flow\" style=\"border-width:2px;padding-top:var(--wp--preset--spacing--20);padding-right:var(--wp--preset--spacing--20);padding-bottom:var(--wp--preset--spacing--20);padding-left:var(--wp--preset--spacing--20)\">\n<h4 class=\"wp-block-heading has-base-2-color has-text-color has-link-color wp-elements-59619f908175506c5b8530896945a125\">Key recent competition law challenges<\/h4>\n\n\n\n<div style=\"height:5px\" aria-hidden=\"true\" class=\"wp-block-spacer\"><\/div>\n\n\n\n<details class=\"wp-block-details has-base-color has-accent-3-background-color has-text-color has-background has-link-color wp-elements-23a80eb06faee99d4bd9d96ad47b2c0f is-layout-flow wp-container-core-details-is-layout-ce226254 wp-block-details-is-layout-flow\" style=\"margin-top:0;margin-bottom:0;padding-top:var(--wp--preset--spacing--10);padding-right:var(--wp--preset--spacing--10);padding-bottom:var(--wp--preset--spacing--10);padding-left:var(--wp--preset--spacing--10)\"><summary>European Super League <strong><em><a id=\"_ftnref1\" href=\"#_ftn1\"><strong>[2]<\/strong><\/a><\/em><\/strong> <\/summary>\n<p class=\"has-base-color has-text-color has-link-color wp-elements-a7bbe89e92ecfc6196a2e175f8cb557b\">In<em> European Super League<\/em> (&#8220;ESL&#8221;), a breakaway tournament proposed by twelve major European football clubs was strongly opposed by UEFA and FIFA, who threatened participating clubs and players with sanctions, arguing that international matches in Europe require their prior authorisation.<\/p>\n\n\n\n<p class=\"has-base-color has-text-color has-link-color wp-elements-3389693af5d77478130234637525786b\">The CJEU ruled that FIFA and UEFA&#8217;s prior approval rules and sanctions represented a breach of Articles 101 and 102 of the Treaty on the Functioning of the European Union (&#8220;TFEU&#8221;), but acknowledged that the rules and sanctions were not, by themselves, an abuse of a dominant position as they could pursue legitimate aims &#8220;in the specific context of professional football&#8221;. However, without a framework of &#8220;transparent, objective, precise and non-discriminatory&#8221; substantive criteria and procedural rules, they <em>were<\/em> an abuse of a dominant position.<\/p>\n<\/details>\n\n\n\n<div style=\"height:5px\" aria-hidden=\"true\" class=\"wp-block-spacer\"><\/div>\n\n\n\n<details class=\"wp-block-details has-base-color has-accent-4-background-color has-text-color has-background has-link-color wp-elements-1cbac82e129d284736be85ddfcf47e6a is-layout-flow wp-container-core-details-is-layout-ce226254 wp-block-details-is-layout-flow\" style=\"margin-top:0;margin-bottom:0;padding-top:var(--wp--preset--spacing--10);padding-right:var(--wp--preset--spacing--10);padding-bottom:var(--wp--preset--spacing--10);padding-left:var(--wp--preset--spacing--10)\"><summary>International Skating Union <strong><a id=\"_ftnref1\" href=\"#_ftn1\"><strong>[3]<\/strong><\/a><\/strong><\/summary>\n<p class=\"has-base-color has-text-color has-link-color wp-elements-8b67da69bbdf8a07f28166334d30abf2\">The CJEU gave a similar judgment in <em>International Skating Union<\/em> (&#8220;ISU&#8221;). This dispute concerned two professional speed skaters, prevented from participating in a privately organised competition after the ISU \u2013 the global governing body\u2013 threatened lifetime bans for athletes who competed in unauthorised events.<\/p>\n\n\n\n<p class=\"has-base-color has-text-color has-link-color wp-elements-d1f289a8f4dd427cb665d1b929d1f60a\">The European Commission \u2013 and subsequently the CJEU \u2013 found these rules anti-competitive. In breach of Article 101 TFEU, the ISU&#8217;s eligibility rules constituted a decision by an association of undertakings that had the effect of restricting competition. In breach of Article 102 TFEU, the ISU&#8217;s rules were an abuse of its dominant position in the market, as they excluded rival event organisers.<\/p>\n<\/details>\n\n\n\n<div style=\"height:5px\" aria-hidden=\"true\" class=\"wp-block-spacer\"><\/div>\n\n\n\n<details class=\"wp-block-details has-base-color has-contrast-background-color has-text-color has-background has-link-color wp-elements-4e7ca0e45a7c9a8b736c8d852b556fa2 is-layout-flow wp-container-core-details-is-layout-ce226254 wp-block-details-is-layout-flow\" style=\"margin-top:0;margin-bottom:0;padding-top:var(--wp--preset--spacing--10);padding-right:var(--wp--preset--spacing--10);padding-bottom:var(--wp--preset--spacing--10);padding-left:var(--wp--preset--spacing--10)\"><summary>Royal Antwerp <strong><a id=\"_ftnref1\" href=\"#_ftn1\"><strong>[4]<\/strong><\/a><\/strong><\/summary>\n<p class=\"has-base-color has-text-color has-link-color wp-elements-41bef405b85ac9aff7a132ae3767376f\">In <em>Royal Antwerp<\/em>, the CJEU considered the legality of the <em>&#8220;home-grown player rule&#8221;.<\/em> Under UEFA rules, clubs participating in interclub competitions were required to have&nbsp;a minimum of eight locally trained players. The CJEU found that, although the objective of promoting local talent was legitimate, the rules violated the freedom of movement for workers under Article 45 TFEU, likely to give rise to indirect discrimination at the expense of players from another Member State. The CJEU&#8217;s judgment acknowledged there could be a justification if these rules pursued a non-economic objective and the restrictions were inherent and necessary to the attainment of that objective and deferred to the court in Brussels to make that assessment. <\/p>\n<\/details>\n<\/div>\n<\/div>\n<\/div>\n\n\n\n<div style=\"height:20px\" aria-hidden=\"true\" class=\"wp-block-spacer\"><\/div>\n\n\n\n<div class=\"wp-block-columns is-layout-flex wp-container-core-columns-is-layout-28f84493 wp-block-columns-is-layout-flex\">\n<div class=\"wp-block-column has-base-color has-accent-4-background-color has-text-color has-background has-link-color wp-elements-defff1400b357038f6ae94529e12bbb2 is-layout-flow wp-container-core-column-is-layout-2703eb16 wp-block-column-is-layout-flow\" style=\"padding-top:var(--wp--preset--spacing--20);padding-right:var(--wp--preset--spacing--20);padding-bottom:var(--wp--preset--spacing--20);padding-left:var(--wp--preset--spacing--20)\">\n<p>The CJEU&#8217;s judgment in <strong><em>European Super League<\/em><\/strong>, in particular, marked a turning point in the intersection of sports governance and competition law, reinforcing the principle that even powerful sporting federations are bound by EU legal standards in a market context.
